GDC (08271) announced that Mr. Xu Liang has decided to retire from his position as an executive director of the company as he has reached retirement age and wishes to devote more time to other personal affairs. Consequently, Mr. Xu will step down from his roles as Chairman of the Board, Chairman and member of the Executive Committee and Nomination Committee, Vice Chairman and member of the Remuneration Committee, the company's authorized representative under Rule 5.24 of the GEM Listing Rules of The Stock Exchange of Hong Kong Limited, the authorized representative for receiving legal process documents and notices in Hong Kong under Part 16 of the Hong Kong Companies Ordinance (Chapter 622) and Rule 24.05(2) of the GEM Listing Rules, and will no longer serve as the company's Compliance Officer under the then Rule 5.19 of the GEM Listing Rules (which was abolished effective January 1, 2024). These retirements will take effect from January 1, 2026.

Following Mr. Xu's retirement, the Board further announced that Mr. Feng Xianhuai, an Executive Director and the Managing Director of the company, has been appointed as Chairman of the Board, Chairman and member of the Executive Committee and Nomination Committee, and Vice Chairman and member of the Remuneration Committee, effective January 1, 2026.

Subsequent to Mr. Xu's retirement, Mr. Feng has been appointed as the company's authorized representative and agent for service of legal process, with these changes also effective from January 1, 2026.
