Hong Kong – Zhong Ju Investment Group Limited disclosed that its controlling shareholder, MSINT LTD, intends to reduce its ownership by as much as 159.00 million shares—equivalent to no more than 30% of the company’s total issued share capital—through a placing to independent third parties within the next three months.

MSINT LTD currently holds 376.92 million shares, representing 71.12% of Zhong Ju Investment Group’s outstanding equity. Even after the proposed disposal, MSINT LTD will retain majority control, and the transaction will not trigger a change of control or alter the company’s governance structure.

According to the announcement, the share sale is driven by MSINT LTD’s personal financing needs. Proceeds will be applied to living expenses or unspecified investment purposes. The shareholder reaffirmed confidence in Zhong Ju Investment Group’s long-term prospects.

Key points: • Maximum shares to be placed: 159.00 million (30% of issued shares) • Current shareholding of MSINT LTD: 376.92 million shares (71.12%) • Post-transaction control: MSINT LTD remains the controlling shareholder • Placement counterparties: Independent third parties, as per Listing Rules • Timeline: Placement targeted within three months from 8 July 2026 • Public float: Company expects to maintain at least the required 25% free float

No binding placing agreement has been executed; final pricing, exact launch date and actual number of shares to be placed will depend on market conditions. The controlling shareholder has pledged strict compliance with Hong Kong’s Listing Rules, relevant regulations and disclosure obligations throughout the process. Shareholders and investors are urged to exercise caution when dealing in Zhong Ju Investment Group shares.
