MTT GROUP (02350) has announced the termination of its proposed acquisition of Hong Kong Hui Lang Technology Co., Ltd. Following prudent and thorough consideration, the company decided not to proceed with the acquisition. Subsequent to the trading hours on January 27, 2026, the company and the seller, after fair negotiation, entered into a termination agreement to cancel the share purchase agreement and the transactions contemplated thereunder, effective from the termination date. Pursuant to the termination agreement, all obligations and responsibilities under the share purchase agreement have been fully discharged, and neither party shall have any further rights or obligations under the said agreement, which is now terminated. As of the date of this announcement, the Group has not made any payment of the consideration to the seller.
