ISP Holdings Reports Stable Share Base for July 2026; Confirms Public Float Compliance

Bulletin Express
08/03

ISP Holdings Limited (ISP Holdings) filed its Monthly Return for the period ended 31 July 2026, showing no changes in either authorised or issued share capital during the month.

Key figures • Authorised share capital remained at HKD 1.00 billion, comprising 90.00 billion ordinary shares and 10.00 billion convertible preference shares, both with a par value of HKD 0.01.

• Issued ordinary shares were unchanged at 764.72 million. No treasury shares were held or cancelled, leaving total issued shares steady at 764.72 million.

• Issued convertible preference shares also stayed constant at 80.00 million. At the HKD 0.57 conversion price, these securities are convertible into up to 106.01 million ordinary shares.

• ISP Holdings confirmed that at month-end it met the Main Board’s minimum public-float requirement of 25%.

Equity incentive arrangements • No share options were outstanding, granted, exercised, or cancelled in July. The company’s 2026 Share Option Scheme still allows up to 76.47 million ordinary shares to be issued upon future grants and exercises.

Capital movements • The filing recorded zero increases or decreases in issued shares and treasury shares across all instruments (options, convertibles, warrants or other agreements).

This stability in share capital structure indicates that ISP Holdings maintained its equity base throughout July 2026, while preserving capacity for future share option issuance and potential dilution from outstanding convertible preference shares. All regulatory float requirements remain satisfied.
