Alpha Pro Holdings has issued a circular convening its 2026 annual general meeting (AGM) for 9 September 2026 at Novotel Century Hong Kong. Shareholders on record by 3 September will be eligible to attend and vote; the register of members closes from 4 to 9 September.
Key resolutions include:
1. Board composition • Re-election of three retiring directors: Executive Director & CEO Zhao Lei, and Independent Non-executive Directors Chen Jianguo and Huang Xin. • Zhao Lei, 44, CFA charter-holder, was appointed CEO in September 2023 and received HK$0.38 million in remuneration for FY26. • Chen Jianguo, 57, and Huang Xin, 41, each currently earn HK$50,000 per annum as INEDs.
2. Auditor • Crowe (HK) CPA Limited is nominated for re-appointment. The audit fee for the year ending 31 March 2027 is estimated at HK$0.80 million–HK$1.10 million, excluding out-of-pocket expenses.
3. Capital mandates • Share repurchase mandate: authority to buy back up to 10% of issued shares, equivalent to 41.23 million shares based on the 412.28 million shares outstanding as of 24 July 2026. • General issue mandate: authority to issue up to 20% of issued shares—about 82.46 million shares—and an extension allowing reissuance of repurchased shares. • The board states these authorisations would run until the earlier of the next AGM, the statutory deadline for holding it, or a prior revocation by shareholders.
4. Shareholding impact • Controlling shareholder Ms Chong Sok Un, through Miracle Planet Developments and related entities, holds 207.03 million shares (50.22%). Full utilisation of the repurchase mandate would increase her stake to approximately 55.79%, remaining above the 50% threshold and therefore not triggering a mandatory general offer under Hong Kong’s Takeovers Code.
Shareholders are encouraged to submit proxy forms to Tricor Investor Services at least 48 hours before the meeting if unable to attend in person.
