Special purpose acquisition company (SPAC) Silicon Valley Acquisition II has submitted paperwork to the U.S. Securities and Exchange Commission (SEC) on Monday, outlining plans to raise as much as $220 million through an initial public offering. The vehicle is designed to focus on industries currently undergoing structural shifts.
Under the proposed terms, the company intends to offer 22 million units at a price of $10 per unit, which would generate $220 million in gross proceeds. Each unit will consist of one ordinary share and half of a warrant, with each full warrant allowing the purchase of one ordinary share at $11.50.
On the leadership front, Silicon Valley Acquisition II is helmed by Chairman and Chief Executive Officer Dan Nash. Nash previously served as head of investment banking at Cohen & Company Capital Markets, where he oversaw the firm's SPAC operations, and he also holds the CEO position at Silicon Valley Acquisition Corp. (ASX: SVAQU). The Chief Financial Officer role is filled by Martin Zinny, who concurrently serves as CFO for both Silicon Valley Acquisition Corp. and Freedom Metals Acquisition (FDMMU).
The blank-check entity is setting its sights on businesses operating in fintech, crypto and digital assets, AI infrastructure, energy transition, mobility, technology, consumer goods, healthcare, and mining sectors. A sister SPAC under the same management team, Silicon Valley Acquisition Corp., raised $200 million in December 2025 and announced in June its impending merger with quantum computer component manufacturer EigenQ.
Headquartered in Palo Alto, California, and established in 2026, Silicon Valley Acquisition II is slated to list on the Nasdaq under the ticker symbol "SVATU." Cohen & Company Securities is serving as the sole book-running manager for the offering.
