Hong Kong Exchanges and Clearing Limited and The Stock Exchange of Hong Kong Limited have disclaimed liability for the content of this announcement from Century Ginwa Retail Holdings Limited. The Group has noted an update regarding ongoing litigation and provided relevant information pursuant to local listing rules and the Securities and Futures Ordinance.

According to the announcement, reference is made to previous disclosures dated 23 May 2024, 3 June 2024, and 26 August 2025. On 13 October 2025, the Group received a copy of the Application of Civil Appeal filed by the Project Company with the Xi’an Intermediate People’s Court, in which the Project Company is seeking an order to remit the case for retrial or dismiss all of the Purchaser’s claims, as well as for the Purchaser to bear the litigation costs of both trials. The Purchaser intends to contest the Application and continue on-site inspections.

It is noted that the development and delivery of the Project are expected to conclude after the case has been resolved. The Board considers that this litigation has not caused and will not cause significant adverse impact on ongoing operations or the Group’s financial position. Liquidated damages will serve as additional working capital and support the continuous progress of the Project. Further announcements will be made if any material developments arise.
