Daisho Microline Holdings Limited plans to rebrand as “Jsmart Technologies Group Limited” and register the Chinese secondary name “金安具身智能科技集團有限公司”, replacing the identifier “大昌微綫集團有限公司”.
The proposal, approved by the Board, reflects the Group’s strategic expansion into artificial intelligence and robotics. Implementation hinges on two conditions: 1) passage of a special resolution at a special general meeting (SGM) of shareholders, and 2) issuance of certificates of change of name and secondary name by the Bermuda Registrar of Companies.
Once the Registrar’s approval is obtained, the new names will take effect and the Company will complete subsequent filings with the Hong Kong Companies Registry. Existing share certificates will remain valid for trading, settlement, registration and delivery; replacement will not be required. The stock code will stay unchanged, although new English and Chinese stock short names and a refreshed logo will be adopted after the effective date.
The SGM is set for Friday, 22 May 2026 at 11:00 a.m. (Suite 22C, 22/F, 228 Electric Road, North Point, Hong Kong). To determine voting eligibility, the register of members will close from Tuesday, 19 May 2026 to Friday, 22 May 2026, inclusive. Share transfers must be lodged with Tricor Investor Services Limited by 4:30 p.m. on Monday, 18 May 2026. The record date for voting entitlement is Friday, 22 May 2026, and no shareholder is required to abstain from voting on the resolution.
A circular detailing the proposal and the SGM notice will be dispatched in due course, with additional announcements to follow on the meeting’s poll results, effective date of the new names and the revised stock short names.
