Asia Cement (China) Holdings Corporation (Stock Code: 743) has announced that Independent Non-Executive Director (“INED”) Dr. WANG Kuo-ming will resign from his directorship, and from his roles as chairman of the Remuneration Committee and the Corporate Sustainability Committee, as well as a member of the Independence Committee, effective 28 October 2025. He has indicated a desire to devote more time to personal endeavors. The Board expressed gratitude for his contributions, noting there is no disagreement with the Board nor other matters requiring further attention.

Effective 28 October 2025, the company will appoint Ms. HO LIN Mei-hsueh as an INED and as a member of the Independence Committee, the Nomination Committee, the Remuneration Committee, and the Corporate Sustainability Committee. Ms. HO LIN has over four decades of professional experience in human resources and training, including senior positions with Far Eastern Group. She has entered into a three-year service agreement with a director’s fee of HK$300,000 per annum (currently HK$25,000 per month), subject to relevant Listing Rules and the company’s articles of association.

The Board also announced that Executive Director Mr. HSU Shu-ping will serve as chairman of the Corporate Sustainability Committee, and INED Mr. TSIM Tak-lung Dominic will assume the role of chairman of the Remuneration Committee, both effective 28 October 2025. The Board extended a formal welcome to Ms. HO LIN and acknowledged the ongoing contributions of its members.
