Prime Intelligence Solutions Group Limited will convene its 2026 annual general meeting on 21 September 2026 at 11:00 a.m. in Hong Kong. Shareholders will vote on several key resolutions:
1. Capital Mandates • Issue Mandate: Directors request authority to allot and issue up to 160.00 million new shares, equivalent to 20% of the 800.00 million shares in issue (excluding any treasury shares) as of 24 August 2026. • Repurchase Mandate: Approval is sought to buy back up to 80.00 million shares, or 10% of issued share capital, with repurchased shares either cancelled or held in treasury. The company has not repurchased any shares in the past five months. • Extension Mandate: Any shares repurchased under the above authority may be added to the shares available for issuance, effectively expanding the potential new-issue capacity.
2. Board Composition Shareholders will vote on the re-election of three directors: • Executive Director – Mr Yang Chuan • Independent Non-Executive Directors – Mr Wong Ching Wan and Ms He Zhiqi
3. Routine Matters The meeting will also consider approval of the audited financial statements for the year ended 31 March 2026, authorisation of directors’ remuneration, and re-appointment of McMillan Woods (Hong Kong) CPA Limited as external auditor.
The board states that the proposed mandates offer flexibility for future capital management and are in the overall interests of shareholders, while affirming that any share repurchases will not reduce public float below the 25% regulatory threshold.
Proxy forms must be submitted to Tricor Investor Services by 19 September 2026 at 11:00 a.m. to be valid. The company’s register of members will be closed from 15 to 21 September 2026 (both days inclusive) for AGM eligibility.
