Rex International Holding shareholders approve all resolutions at Apr, 24 2026 AGM

Rex International Holding Limited held its Annual General Meeting on Apr, 24 2026 in Singapore. All resolutions tabled were approved by poll.

Key outcomes included:

• Directors’ fees of about 0.607 million Singapore dollars for the financial year ending Dec, 31 2026 were approved, with 99.88% of votes in favour.

• Executive Chairman Mr John d’Abo withdrew his re-election and stepped down from the Board at the close of the meeting.

• Lead Independent Non-Executive Director Mr Pong Chen Yih was re-elected, securing 99.93% of votes.

• Deloitte & Touche LLP was re-appointed as external auditor for the financial year ending Dec, 31 2025.

• Shareholders granted authority for the Board to issue new shares of up to 50% of the company’s issued capital, with a sub-limit of 20% for non pro-rata issues; to issue shares under the employee share option scheme and performance share plan (each capped at 15% of issued shares); and to renew the 10% on-market/off-market share buyback mandate.

• All special business resolutions received support ranging from 94.37% to 99.77% of votes cast.

During the meeting the company addressed pre-submitted and live shareholder queries on topics including Lime Petroleum’s recent bond issue, liquidity, production plans in Oman and Norway, funding strategy for the Benin project, and criteria for executing share buybacks.

The AGM concluded at 3:53 p.m. local time.
