BJ Health Moves Into Sports Tech With Acquisition of 40% Stake in Zhongtian Sports

Beijing Health (Holdings) Limited (BJ Health) announced that indirect wholly owned subsidiary United Win International Corporation signed a share-purchase agreement on 29 May 2026 to acquire 100 percent of a target company whose principal asset is a 40 percent equity interest in Beijing Zhongtian Sports Development. The transaction’s size falls below the 5 percent thresholds under Hong Kong Listing Rule 14.07 and therefore does not trigger mandatory disclosure or shareholder approval requirements.

Zhongtian Sports operates a digitalised, six-segment platform spanning digital technology, sports agency, youth training and education, certification, event services and sports health. The company collaborates with more than 500 event organisers, 600 athletics venues and equipment enterprises and over 100 education and sports institutions, while maintaining partnerships with leading corporates such as China Mobile, NIKE, Tencent and Alibaba.

Flagship mobile product “Digital Heartbeat APP” hosts tens of millions of registered users and commands an estimated 75 percent share in China’s road-running event-services market. To date, Zhongtian Sports has supported over 6,000 sports events, generated 12.00 million event registrations and achieved 200.00 million media exposures, reaching 400.00 million people nationwide. Additional operating metrics include service to more than 30 professional athletes, 800 youth training sessions involving 22,000 participants and completion of 2,000 industry certification projects alongside 25 industry standards.

BJ Health stated that the deal extends its business mix from “medical care + elderly care” to a full life-cycle model covering “prevention – treatment – rehabilitation”. Post-acquisition, the group plans to integrate sports-generated data with its existing healthcare data, pursue cross-selling opportunities and broaden its product matrix. Management highlighted potential in China’s multi-trillion-renminbi sports market, noting Zhongtian Sports’ portfolio of 120 registered trademarks, 122 software copyrights and national high-tech enterprise qualifications.

The board expects the acquisition to reinforce the company’s strategic position in China’s “Healthy China” and “Strong Sports Nation” initiatives and to strengthen future growth momentum.
