Tianjin Construction Development Group Co., Ltd. (TJCD; HKEX: 02515) has announced the planned transition of its independent non-executive directorship and related board committee roles.

Independent Non-Executive Director (INED) Resignation • Mr. Shiu Shu Ming submitted his resignation on 10 September 2026 to allocate more time to other business pursuits. • He will continue performing his board and committee duties until shareholders approve a successor. • On the effective date of his departure, Mr. Shiu will also step down as Chairman of the Audit Committee and as a member of the Nomination Committee. • The departing INED confirmed no disagreements with the Board and no other matters requiring shareholder attention.

Proposed Appointment of New INED • The Board has nominated Mr. Chan Kwong On, aged 44, to fill the INED vacancy. His election will be voted on at an extraordinary general meeting (EGM) scheduled for 30 September 2026. • Conditional on shareholder approval, Mr. Chan will assume the roles of Audit Committee Chairman and Nomination Committee member.

Candidate Profile: Mr. Chan Kwong On • Professional background: Finance Manager at China First Capital Group Limited (Aug 2017–Apr 2023); Company Secretary, Dashan Education Holdings Limited (since Apr 2023); INED, Wisdom Wealth Resources Investment Holding Group Limited (since Jul 2024). • Academic qualifications: Associate Degree in Business Administration, City University of Hong Kong (2005); Master of Science in Accountancy, Hong Kong Polytechnic University (2012). • Compliance: Declared independence under Hong Kong Listing Rules 3.13 and holds no shares or related-party interests in TJCD.

Service Terms and Remuneration • Upon approval, Mr. Chan will enter into a service agreement effective from the EGM until the end of the current Board term, terminable with not less than three months’ written notice. • His remuneration will be set by the Board with reference to duties, experience, responsibilities and prevailing market conditions.
