Qing Hua Holding Group Company Limited announced a board reorganisation effective 15 April 2026. Dr. Ip Wai Hung has resigned as Independent Non-Executive Director (INED), Chairman of the Nomination Committee, and member of both the Audit and Remuneration Committees. The departure is attributed to Dr. Ip’s decision to focus on other commitments; he confirmed no disagreements with the board and no matters requiring shareholder attention.

Concurrently, the company appointed Mr. Wong Chun Kwok, aged 44, as INED, Chairman of the Nomination Committee, and member of the Audit and Remuneration Committees. Mr. Wong brings over two decades of accounting and finance experience, including prior roles as CFO of Huisen Shares Group (Oct 2021–Jun 2024) and Fitness World (2018–2020), as well as audit tenures at PwC and Moore Stephens. He currently serves on the boards of U.S.-listed Datasea Inc. and Neo-Concept International Group Holdings, and was re-designated to Executive Director at Universe Printshop Holdings in Oct 2025.

Under a two-year appointment letter beginning 15 April 2026, Mr. Wong will receive a director’s fee of HK$0.01 million per month (approximately HK$0.14 million annually), with automatic one-year renewals unless either party gives one month’s notice. The fee was set with reference to his qualifications, responsibilities and prevailing market conditions.

Mr. Wong has confirmed independence per GEM Listing Rule 5.09 and holds no share interests in Qing Hua Holding. Post-changes, the board comprises one executive director, three non-executive directors and three independent non-executive directors, maintaining balanced governance and committee oversight.
