Jiu Rong Holdings (2358) announced that Executive Director and Nomination Committee member Ms. Liu Bingjie resigned effective 10 February 2026 to devote more time to personal commitments. According to the announcement, Ms. Liu has no disagreement with the Board and confirmed there is no matter requiring the attention of shareholders or the Hong Kong Stock Exchange. The Board expressed its gratitude for her contributions.

After Ms. Liu’s resignation, the Company no longer meets the requirement under Rule 13.92 of the Listing Rules and the Corporate Governance Code regarding board and committee gender diversity. Jiu Rong Holdings plans to identify a suitable female candidate and appoint at least one female director within three months of Ms. Liu’s departure to ensure compliance with the relevant requirements.
