Brightstar Technology Group Co., Ltd. reported that its 20-for-1 share consolidation, approved on 5 August 2026 and effective 7 August 2026, has materially altered the company’s capital structure for the month ended 31 August 2026.
The consolidation merged every twenty ordinary shares of HKD 0.01 par value into one new ordinary share of HKD 0.20 par value. As a result, authorised share count fell to 150.00 million from 3.00 billion, while the authorised share-capital ceiling remained unchanged at HKD 30.00 million, reflecting the higher post-consolidation par value.
Issued shares experienced a 95.0% contraction, dropping by 1.07 billion to 56.26 million. No treasury shares were held before or after the restructuring, and the company confirmed that its public-float ratio continues to meet the minimum 25% requirement under Hong Kong listing rules.
No new shares were issued during the month through options, warrants or convertibles, and no funds were raised. The 2026 Share Option Scheme, approved on 16 June 2026, remains unutilised; it permits future issuance of up to 5.63 million shares, equivalent to roughly 10% of the current share base.
The monthly return affirms compliance with all applicable listing and regulatory requirements following the capital reorganisation.
