China Evergrande New Energy Vehicle Group Limited (EVERG VEHICLE) announced that Independent Non-Executive Director (INED) Xie Wu stepped down on 20 July 2026. His departure also vacates the chairmanships of the audit, nomination, remuneration and corporate governance committees. Xie cited greater professional commitments in the medical field and confirmed no disagreement with the board.

The resignation leaves the board in breach of several Hong Kong Listing Rules: • Rule 3.10(1) – fewer than three INEDs. • Rule 3.10(2) – no INED with accounting or related financial expertise. • Rule 3.21 – audit committee now has fewer than three members and lacks a qualified INED. • Rule 13.92 – absence of gender diversity on the board. • Rule 3.27A – nomination committee no longer chaired by the board chair or an INED. • Rule 3.28 – no qualified company secretary in place. • Rule 3.05 – fewer than two authorised representatives for HKEX communications.

The company is searching for candidates to restore compliance and will release further announcements when appointments are made.

Trading in Evergrande NEV shares has been suspended since 1 April 2025 pending outstanding financial results and fulfilment of HKEX resumption guidance. The suspension remains in force until further notice.
