Legend Upstar Holdings Limited (459) disclosed the provision of a HK$22 million mortgage loan on 3 December 2025 through its indirect wholly-owned subsidiary, Legend Credit. The one-year loan carries an effective annual interest rate of 11%, with a maturity date of 4 December 2026 and a repayment schedule in 12 successive monthly installments.
According to the announcement, the loan is secured by a first legal charge over a residential property and a car parking space in Pok Fu Lam, Hong Kong, collectively valued at approximately HK$36.38 million. The loan-to-value ratio is around 60.47%, and a default interest rate of 16% per annum applies to any overdue amount.
This transaction constitutes a discloseable transaction under Chapter 14 of the Listing Rules, as one or more of the applicable percentage ratios exceed 5% but remain below 25%. Legend Upstar Holdings Limited received a waiver from strict compliance with Rule 14.58(2) regarding the borrower’s identity. The transaction is intended to generate additional interest income and is consistent with the group’s principal business activities, which include property agency services, property investment, credit business, and securities investment in Hong Kong.
