Viewtrix Technology Co., Ltd. will convene its first extraordinary general meeting of 2026 on 20 August at 14:30 (Hong Kong time) in Shanghai to seek shareholder approval for the appointment of Professor Zhang Jinfan as an independent non-executive director (INED).

Candidate profile • Professor Zhang, aged 45, holds a Ph.D. in Electrical Engineering from Tsinghua University (2007) and a Ph.D. in Finance from Yale University (2013). • Current roles include professor of finance and head of the finance area at the Chinese University of Hong Kong (Shenzhen) and INED at Sheng Yuan Holdings Ltd. since May 2020. • Previous positions span the IMF’s Monetary Policy and Financial Markets Department and Cheung Kong Graduate School of Business.

3. Independence confirmation • The Board and its Nomination Committee affirm that Professor Zhang satisfies all independence requirements under Rule 3.13 of the Hong Kong Listing Rules, holds no shares in the company and has no relationships with directors, senior management or major shareholders.
