APAC Resources Limited (APAC Resources), through wholly owned subsidiary APAC Resources Mining Limited (ARML), has agreed to take up its full entitlement in Tanami Gold NL’s 1-for-1 renounceable rights issue.

ARML will subscribe for 544.02 million Tanami Gold shares at AUD0.06 each, representing a total consideration of AUD32.64 million (HK$185.18 million). The subscription price reflects a 34.8% discount to Tanami Gold’s last closing price of AUD0.092 on 5 May 2026 and a 37.0% discount to the five-day average of AUD0.0952.

Settlement of the new shares is slated for 2 June 2026, with allotment on 3 June 2026. Post-completion, APAC Resources will hold 1.09 billion Tanami Gold shares—equivalent to 46.30% of the enlarged share capital—maintaining its position as the single-largest shareholder.

Funding for the subscription will be met from internal resources and/or borrowings originally earmarked for resource investment, commodity trading and general working capital. The board will reassess capital allocation needs for these activities and announce any subsequent financing plans.

Under Hong Kong Listing Rules, the deal constitutes a discloseable transaction, as the applicable percentage ratios exceed 5% but remain below 25%. Accordingly, it is subject to reporting and announcement requirements only, without a need for shareholder approval.

Tanami Gold is an ASX-listed gold explorer holding a 50% interest in the Central Tanami Project Joint Venture. It reported an audited net loss after tax of AUD5.84 million for the year ended 30 June 2025, compared with a loss of AUD6.15 million the previous year. Consolidated net assets stood at AUD42.51 million as of 30 June 2025 and AUD42.41 million as of 31 December 2025 (unaudited).

APAC Resources views the discounted rights issue as a strategic opportunity to sustain exposure to the Central Tanami Project and align with its focus on value creation in the gold sector amid robust safe-haven demand.
