Home Control International Limited has convened its 2026 annual general meeting for 9:30 a.m. on 12 June 2026, offering both an in-room session in Hong Kong and an online option.
Key proposals to be tabled include:
1. Capital authorities • A general mandate allowing the board to issue new shares equal to up to 20% of the 535.07 million shares in issue as at 8 April 2026 (maximum 107.01 million shares). • A buy-back mandate permitting on-market repurchases of up to 10% of issued capital (53.51 million shares), with a matching mandate extension to add repurchased shares to the issue limit.
2. Board composition Five directors appointed during 2025—executive director Haofang Yang, non-executive director Ying Ma, and independent non-executive directors Min Ye, Yi Chung Chen and Bernard Eng Chuan Lim—will retire and stand for re-election. Executive director and CEO Kwok Hoong Siu will retire by rotation and also seek re-election.
3. Corporate governance update Shareholders will vote on adopting a new set of articles of association that, among other changes, enables treasury-share holding, expands electronic communication (including e-proxy instructions and e-dividend payments) and shortens the untraceable-shareholder period from 12 to six years.
4. Auditor re-appointment PricewaterhouseCoopers LLP is nominated to continue as external auditor for the financial year ending 31 December 2026.
5. Dividend A final dividend of US0.66 cents per share (about HK5.19 cents) for FY2025 is recommended, up from US0.25 cents in FY2024. The books will close from 25–30 June 2026; shareholders on record at 30 June will receive payment on or about 15 July 2026.
