Sihuan Pharmaceutical AGM Clears All Resolutions; Final Dividend Set at HK1.09 Cents per Share

On 26 June 2026, Sihuan Pharmaceutical Holdings Group Ltd. held its annual general meeting, where shareholders approved every resolution put forward, including a cash dividend, director re-elections, mandate renewals and a new share incentive scheme.

The meeting covered 8.99 billion voting shares, representing the entire share capital eligible to vote after excluding 130.19 million shares held under the 2022 Share Award Scheme and 204.01 million treasury shares. All votes were taken by poll and verified by Tricor Investor Services Limited.

Key outcomes:

• Financial Statements and Dividend Shareholders adopted the 2025 audited financial statements and confirmed a final cash dividend of RMB0.96 cents per share. Based on the RMB/HK$ exchange rate of 1:1.133 set on 31 March 2026, the dividend translates to HK1.09 cents per share and will be distributed on 16 July 2026 to holders on record as of 6 July 2026.

• Board Composition Executive directors Dr. Guo Weicheng and Ms. Chen Yanling, as well as independent non-executive director Dr. Zhu Xun, were re-elected with approval rates of 99.67%, 98.93% and 97.19%, respectively. The board is also authorised to determine directors’ remuneration.

• Auditor Re-appointment Ernst & Young remains the company’s auditor after receiving 99.99% shareholder support.

• Issuance and Buy-back Mandates A 20% general issuance mandate and a 10% share-repurchase mandate were renewed, each receiving in excess of 95% affirmative votes. An extension allowing the board to issue additional shares equivalent to those repurchased was likewise approved.

• 2026 Share Incentive Scheme Shareholders terminated the 2017 option scheme and adopted a new 2026 Share Incentive Scheme with a 10% overall limit and a 2% sub-limit for service providers. The proposals secured approximately 96% shareholder backing.

All directors attended the meeting, underscoring full board engagement in corporate governance matters.
