China Merchants Securities Co., Ltd. (CMSC) disclosed a senior management change, effective 4 June 2026.

• Resignation: Ms. Wong Wai Yee Ella will step down as Joint Company Secretary, Alternate Authorized Representative under Rule 3.06(2) of the Hong Kong Listing Rules, and the Company’s process agent in Hong Kong. She confirmed no disagreement with the board and no matters requiring shareholder attention.

• Appointment: Ms. Lai Janette Tin Yun will assume the vacated roles on the same date. Ms. Lai is a Chartered Secretary and Chartered Governance Professional with more than 14 years of corporate secretarial and compliance experience, currently serving as a senior manager at Vistra Group.

• Continuity: Mr. Liu Jie remains as the other Joint Company Secretary; the Stock Exchange of Hong Kong has confirmed his qualification under Rule 3.28.

• Governance Structure: The board comprises one executive director, eight non-executive directors, five independent non-executive directors, and one employee representative director.

The board expressed appreciation for Ms. Wong’s contributions and welcomed Ms. Lai’s appointment.
