CEB Water Updates FY2025 Related-Party Transaction Figures; Issues Corrigendum to SGX and HKEX

China Everbright Water Limited (CEB Water) has clarified and restated specific related-party transaction figures in response to queries from Singapore Exchange Securities Trading (SGX-ST) regarding the company’s FY2025 annual report released on 27 March 2026.

The review focused on Note 36(d) of the FY2025 financial statements and the Interested Person Transactions (IPT) table on page 155 of the annual report. CEB Water has now provided a reconciled schedule (see appendix of the announcement) and confirmed that all qualifying IPTs under SGX Listing Manual Rule 907 are fully disclosed.

Key adjustments are as follows:

• Aggregate IPT value with controlling shareholder China Everbright Environment Group Limited has been revised to HKD 201.59 million (approximately SGD 33.85 million), down from the HKD 210.59 million previously reported.

• A finance cost of HKD 1.03 million (about SGD 0.17 million) charged by a related-party bank, previously omitted, is now included under transactions conducted within the approved IPT mandate.

• Other material IPTs for FY2025 comprise HKD 16.19 million with Sun Life Everbright Life Insurance (insurance and healthcare services) and HKD 4.16 million with Everbright Securities (underwriting services). A HKD 0.78 million travel-service payment to China CYTS Tours remains below the disclosure threshold for Note 36 and was therefore not listed there, though it appears in the IPT summary.

The company issued a corrigendum on 13 April 2026 via SGXNet, HKEX, and its corporate website to update both page 46 of its FY2025 annual results and page 155 of the annual report. CEB Water states that, aside from the corrected items above, all other IPT disclosures remain unchanged and in compliance with applicable regulations.

The board currently comprises Non-Executive Chairman Luan Zusheng, Executive Director and CEO Xiong Jianping, and four Independent Non-Executive Directors: Hao Gang, Ng Joo Hee Peter, Soh Kok Leong, and Chan Pui Shan Sandy.
