Shaw Brothers Holdings has officially called off its acquisition of all issued shares in CMC Moon Holdings Limited, with the agreement terminated effective September 18, 2026. The decision follows commercial negotiations between the company and CMC, prompted by evolving market conditions, shifting business strategies, and an assessment of the feasibility of fulfilling outstanding conditions under the sale and purchase agreement by the final deadline of December 31, 2026.
Upon termination, both Shaw Brothers and CMC have mutually and irrevocably released each other from any and all claims, demands, lawsuits, liabilities, and obligations arising from or related to the agreement. As a result, the proposed transaction will no longer proceed, and the company will not pursue the related whitewash waiver or issue a circular. Additionally, the extraordinary general meeting originally scheduled to approve the sale and purchase agreement and the transactions contemplated therein will not be convened.
The board of Shaw Brothers believes that the termination will not have any significant adverse impact on the group's existing business, operations, or financial position. The company has applied to the Stock Exchange of Hong Kong for the resumption of trading in its shares, effective from 9:00 a.m. on Monday, September 21, 2026.
