China Youran Dairy Group Limited (Youran Dairy) has scheduled an extraordinary general meeting (EGM) for 22 May 2026 at 11:00 a.m. in Hohhot, Inner Mongolia, immediately after the same-day annual general meeting.

Key matters to be tabled:

1. Specific Mandate Subscription • Shareholders will vote on approving, confirming and ratifying a Specific Mandate Subscription Agreement. • Directors seek a specific mandate—additional to any existing mandates—to allot and issue new shares under this agreement. • Any director may execute documents and take steps necessary to implement the subscription and share allotment.

2. Whitewash Waiver for Boyuan • Shareholders will consider a special resolution to waive Boyuan’s obligation to make a mandatory general offer that would otherwise be triggered by its subscription for the new shares. • The waiver covers all issued shares and securities not already owned or agreed to be acquired by Boyuan and its concert parties. • Directors would be authorised to handle all related documentation and actions.

• Share register closure: 19 – 22 May 2026, inclusive. • Record date for voting eligibility: 22 May 2026. • Deadline for lodging share transfers: 4:30 p.m. on 18 May 2026 with Tricor Investor Services Limited. • Proxy submission deadline: 11:00 a.m. on 20 May 2026 (48 hours before the EGM). • All resolutions will be decided by poll, pursuant to Hong Kong Listing Rule 13.39(4).
