Imperium Technology Group Limited will convene its 2026 annual general meeting (AGM) on 18 September 2026 at 4:00 p.m. in the conference room, Room 02, 26/F, One Harbour Square, 181 Hoi Bun Road, Kwun Tong, Hong Kong. The Hong Kong branch register of members will be closed from 11 to 18 September 2026; shareholders must lodge share transfers by 4:30 p.m. on 10 September to qualify for voting rights. The record date is 18 September 2026.
Key resolutions to be tabled include:
• Financial Statements: Consideration of the audited consolidated results and the reports of directors and auditors for the year ended 31 March 2026.
• Board Composition: Re-election of directors Mr Lin Junwei, Mr Yeung Tong Seng Terry and Mr Hui Ka Lung.
• Remuneration: Authorisation for the board to determine directors’ remuneration.
• Auditor Appointment: Re-appointment of the current auditors with authority for the board to fix their remuneration.
• Share Issuance Mandate: A general mandate empowering directors to allot, issue or deal with shares up to 20% of the company’s issued share capital during the mandate period, excluding rights issues, scrip dividends and option exercises. The board states it has no immediate plans to issue new shares under this authority.
• Share Repurchase Mandate: Authorisation for the company to repurchase up to 10% of its issued shares on the Hong Kong Stock Exchange or other recognised exchanges during the mandate period.
• Mandate Extension: Conditional on the above mandates being approved, the share issuance limit may be increased by the volume of shares repurchased, effectively extending the issuance capacity by up to an additional 10% of issued share capital.
The mandate period for the issuance and repurchase authorities will expire at the earlier of (i) the conclusion of the next AGM, (ii) the statutory deadline for holding the next AGM or (iii) any earlier revocation by shareholders.
The board currently comprises executive directors Mr Lin Junwei, Mr Yeung Tong Seng Terry and Ms Li Tingting, alongside independent non-executive directors Mr Fung Tze Wa and Mr Hui Ka Lung.
