On December 30, 2025, the company entered into a placing agreement with a placing agent, under which it conditionally agreed to have the agent use its best efforts to place up to 60 million placing shares to no fewer than six placees at a placing price of HK$0.265 per share. These placees and their ultimate beneficial owners are required to be independent third parties. Assuming no change in the number of issued shares from the date of this announcement to the completion date (other than the Placing Shares), the maximum of 60 million Placing Shares represents approximately 20.00% of the company's existing issued share capital as of the announcement date. It also represents approximately 16.67% of the company's issued share capital as enlarged by the allotment and issue of the Placing Shares. The placing price of HK$0.265 represents a discount of approximately 19.70% to the closing price of HK$0.330 per share as quoted on the Stock Exchange on the date of the placing agreement. Assuming all 60 million Placing Shares are successfully placed, the gross proceeds and the net proceeds (after deducting all applicable costs and expenses, including commissions and levies) are estimated to be approximately HK$15.9 million and HK$15.3 million, respectively. The company intends to allocate the net proceeds of approximately HK$15.3 million from the placing to be used as the Group's general working capital, which will be applied towards covering employee costs, professional fees, rental payments, and general administrative and operational expenses.
