TIAN TU CAPITAL (01973) has announced that after market close on September 23, 2026, its wholly-owned subsidiary Tiantu GP Company entered into a subscription agreement with Topos AI Infra Holdings. The agreement covers the purchase of approximately 16.7% of Topos AI Infra Holdings' issued share capital for a total consideration of $5 million.

Under the terms of the agreement with Topos AI Infra Holdings, another wholly-owned subsidiary, Tiantu Global Management, will serve as the managing shareholder of Topos AI Infra Holdings. In this role, it is required to invest the total proceeds raised, approximately $30 million, into Topos AI Infra Investments, a company that will become a subsidiary of Topos AI Infra Holdings.

Around the same time, Tiantu Investments, also a wholly-owned subsidiary, signed a separate subscription agreement with Topos AI Infra Holdings to acquire roughly 40.0% of the issued share capital of Topos AI Infra Investments for a total consideration of $20 million. Consequently, the group's total commitment under these subscription agreements amounts to $25 million.

The company believes that the rapid advancement of artificial intelligence is fueling sustained growth in demand for AI infrastructure. The group intends to continue identifying investment opportunities within this sector that align with its strategic approach and offer attractive risk-adjusted returns for shareholders. While there is no guarantee that any such opportunity will materialize, the company remains confident in the outlook for the technology industry and the growth of AI-related businesses. It will continue its efforts to raise funds for Topos AI Infra Holdings until reaching the target commitment scale of $200 million.
