Lingbao Gold raises HK$770.60 million via 29.82-million-share top-up placement; total share capital expands to 1.38 billion shares

Lingbao Gold has completed a placing of 29.82 million existing H shares followed by a same-size top-up subscription, securing HK$770.60 million in net proceeds under its general mandate.

The placing was executed on 16 April 2026 at HK$26.16 per share by a syndicate of joint bookrunners and placing agents. No fewer than six professional institutional and individual investors—each independent of the company and the controlling shareholder—acquired the shares on a best-effort basis.

On 22 April 2026, the Vendor (a wholly owned unit of Shenzhen Jiesi Dingxin Holdings) subscribed for an identical 29.82 million new H shares at the same HK$26.16 issue price, restoring its pre-placement position.

Proceeds allocation is as follows: • 5% (approximately HK$38.50 million) for overseas acquisition of high-quality gold mining assets; • 65% (approximately HK$500.90 million) for construction of the St Barbara gold-mine project; • 15% (approximately HK$115.60 million) for exploration and reserve expansion in the PRC; • 15% (approximately HK$115.60 million) for general working capital, mainly raw-material procurement.

Post-transaction, the company’s issued share capital increased from 1,352.37 million to 1,382.19 million shares. The Vendor’s stake moves from 23.65% pre-deal to 23.14%, while new placees hold 2.16%. Public shareholders now control 59.29% of the enlarged equity base, up from 58.40% prior to the transaction.

Lingbao Gold confirmed that no placee becomes a substantial shareholder as defined under Hong Kong listing rules.
