Clarity Medical Group Updates Independent Probe: Board Accepts Findings, Trading Remains Halted

Clarity Medical Group Holding Limited (Clarity Medical) released an inside-information announcement summarising the updated findings of an independent investigation conducted by FTI Consulting into a series of corporate-governance allegations. The probe combined earlier work disclosed on 7 April 2026 with additional forensic technology and document-review procedures completed on 7 September 2026.

Key conclusions and monetary impacts

• Allegations of financial misconduct involving consultancy fees paid to entities controlled by former chairman Dr. Tse were confirmed. Saintford, a Clarity Medical subsidiary, paid HK$5.68 million to WIT despite revenue delivery of only HK$0.18 million against a HK$3.00 million annual target; an additional HK$0.90 million was paid to Proyan with no evidence of services rendered. • All other major allegations—including unauthorised subsidiary creation, board appointment irregularities, concealed shareholder relationships, unapproved consultancy agreements, employment without visa, settlement-agreement approvals and alleged interference with whistle-blowing—were judged unsubstantiated. • Allegations of undisclosed pre-IPO share arrangements by Dr. Tse were deemed credible on the face of available evidence, but FTI found no indication that company funds were used or that the arrangements caused direct financial loss to the Group.

Governance response

A Board-appointed Special Committee reviewed the updated FTI report, assessed methodology and evidence, and concluded that the investigation was “properly conducted and adequate.” The Board has accepted the report’s findings. Clarity Medical indicates it has implemented enhanced internal-control measures covering vendor selection, contract approval and monitoring of deliverables and payments. An internal-control adviser has confirmed the adoption and ongoing enforcement of these procedures.

Operational outlook and trading status

The Board stated that current management’s integrity and competence “do not pose any risk to investors” and that business operations remain normal. Nevertheless, trading in Clarity Medical shares has been suspended since 15 April 2025 and will remain halted until further notice. Shareholders and potential investors are advised to exercise caution when dealing in the company’s securities.
