According to the filing, the increase occurred on January 5, 2026, through a placing or subscription of new shares at HKD 1.2 per share, aligned with the Sale and Subscription Agreements outlined in the circular dated November 25, 2025. Hatcher Group Limited confirmed that it has met the applicable public float requirement for its listed ordinary shares.

In addition, under a share option scheme adopted on May 4, 2017, 5,126,944 shares remained available for potential issuance or transfer out of the treasury at the end of January 2026. No other new agreements or arrangements involving convertible securities or warrants were reported.
