Many Idea Cloud Holdings Limited (Stock Code: 06696) has announced a postponement in publishing its audited results for the year ended 31 December 2025 and warned of a likely delay in dispatching its 2025 Annual Report, triggering an immediate suspension of share trading on the Hong Kong Stock Exchange.

In mid-March 2026, auditor BDO Limited received an anonymous e-mail alleging misuse of proceeds from the company’s fundraising exercises and questioning the auditor’s cooperation with an executive director. Although the Audit Committee’s preliminary checks found no irregularities, BDO requested an independent review to address the claims.

On 27 March 2026, the Audit Committee appointed HLB Hodgson Impey Chen to conduct an agreed-upon procedures engagement. The scope covers management interviews, examination of cash outflows, and an assessment of payment-cycle controls. The final report is slated for completion by 27 April 2026.

Publication of the 2025 audited results is now targeted for no later than 30 April 2026, contingent on BDO’s satisfaction with HLB’s findings and any follow-up audit work. The board meeting to approve the results will be rescheduled accordingly. Management states there are currently no disagreements with BDO regarding the 2025 audit.

Because the results are unlikely to be finalized within the statutory four-month window, dispatch of the 2025 Annual Report may also slip beyond 30 April 2026, constituting non-compliance with Listing Rule 13.46(2). The company will announce a revised timetable once available.

Separately, Many Idea Cloud is negotiating a potential strategic partnership in digital fintech with shareholder Vanuatu Digital Investment Initiative Limited, which holds a 6.56% stake and is wholly owned by the Republic of Vanuatu’s Ministry of Finance. The discussions focus on mutual recognition mechanisms and possible acquisitions of licensed fintech assets in Vanuatu. No binding agreement has been signed.

The Audit Committee characterizes the delay as a one-off event and indicates that recommendations from the independent review will be incorporated into the group’s risk management and internal control framework.
