YCIH Green High-Performance Concrete Company Limited (Stock Code: 1847) has issued a circular regarding two proposed continuing connected transactions with its controlling shareholder, Yunnan Construction and Investment Holding Group Co., Ltd. (“YCIH”): the 2026-2028 Products Sales Framework Agreement and the 2026-2028 Raw Materials, Products and Services Procurement Framework Agreement.

Under the 2026-2028 Products Sales Framework Agreement, the company plans to sell building materials, including concrete and prefabricated components, as well as solid waste and new materials to YCIH and its associates from January 1, 2026 to December 31, 2028. The proposed annual caps for these product sales are RMB1,031 million for 2026, RMB1,145 million for 2027, and RMB1,231 million for 2028.

Under the 2026-2028 Raw Materials, Products and Services Procurement Framework Agreement, the company will procure items such as cement, aggregates, construction services, and property management services from YCIH and its associates. The proposed annual caps for this category are RMB571 million for 2026, RMB749 million for 2027, and RMB800 million for 2028.

The Board has formed an Independent Board Committee to review these transactions, and an independent financial adviser has provided an opinion that the agreements are on normal commercial terms. An extraordinary general meeting is scheduled for February 6, 2026, at which independent shareholders will consider and vote on both agreements. If approved, the agreements will become effective January 1, 2026.
