BitStrat Holdings Limited (the “Company”) announced that effective 31 October 2025, Mr. Chen Jiajun, aged 33, will be redesignated from an executive Director to a non-executive Director. Mr. Chen has extensive investment experience in multiple industries and holds a master’s degree in Science of Finance from the University of Southern California.

Prior to this redesignation, Mr. Chen served in various leadership roles, including vice-president and president of Shenzhen Kingkey Banner Commercial Management Ltd. between May 2015 and January 2019. He also served as a non-independent director of Shenzhen Kingkey Smart Agriculture Times Co., Ltd.* from 23 June 2020 to 27 October 2022 and as an executive director of other listed entities.

Mr. Chen has entered into a three-year letter of appointment with the Company starting 31 October 2025, subject to customary rotation and re-election under the Company’s articles of association. His annual director’s fee and remuneration are HK$240,000, determined by reference to duties, responsibilities, and prevailing market conditions. According to the announcement, there is no disagreement with the Board, and no other matters need to be brought to shareholders’ attention regarding this redesignation.
