4. Articles of Association A special resolution seeks approval for amendments to the company’s articles of association, with directors or the company secretary authorised to handle all related filings and procedures.
Administrative Details • Shareholders may appoint one or more proxies to attend and vote; proxy forms must reach Tricor Investor Services Limited by 3:00 p.m. on 27 May 2026. • Joint shareholders may have one representative vote, determined by the first-named holder on the register.
Board Composition As of the circular date (28 April 2026), the board comprises one executive director (Mr. Zhou Jun), one non-executive director (Ms. Zhong Yan) and four independent non-executive directors (Mr. Chan Kay-cheung, Ms. Yau Lai Man, Hon. Rock Chen Chung-nin and Mr. Tang Yi Hoi).
The board notes it has no immediate plans to issue new shares and will consider share repurchases subject to prevailing market conditions.
