Xiaomi-W Cancels 57.81 Million Shares and Trims Class B Share Count by 44.19 Million in June 2026

Xiaomi Corporation (Xiaomi-W, 01810) filed its Monthly Return for the period ended 30 June 2026, detailing further progress on share buy-backs, option exercises and share conversions under its weighted-voting-rights (WVR) structure.

Key Share Capital Movements 1. Issued Shares • Class B WVR shares (listed): fell by 44.19 million to 21.34 billion. • Class A WVR shares (unlisted): fell by 9.96 million to 4.44 billion.

2. Drivers of the Net Reduction in Class B Shares • Share repurchases: – 57.81 million Class B shares bought between 27 Apr and 29 May were cancelled on 25 Jun. – A further 75.93 million Class B shares were repurchased for future cancellation and remain pending extinguishment at month-end. • Share option exercises: issuance of 3.66 million new Class B shares under the Pre-IPO employee stock incentive scheme, generating USD 1.06 million in cash proceeds. • Conversion: 9.96 million Class A shares were converted into Class B shares on 25 Jun, offsetting a portion of the buy-back reduction and preserving WVR voting proportions in line with Hong Kong Listing Rules.

3. Share Option and Convertible Overhang • Outstanding options: 1.93 billion share options remain available under the 2023 Share Scheme, alongside 249.44 million options under earlier schemes. • Convertibles: USD 797.60 million zero-coupon guaranteed convertible bonds due 2027 are outstanding, carrying rights to convert into up to 168.31 million Class B shares at HKD 36.74 per share; no conversions occurred during June.

4. Authorised Share Capital and Treasury Shares • Authorised capital stayed unchanged at 270 billion WVR shares, representing USD 0.68 million in registered capital. • The company held no treasury shares at end-June; repurchased shares are earmarked for cancellation rather than treasury use.

5. Public Float Xiaomi-W confirmed compliance with the Main Board’s 25% minimum public-float requirement as at 30 June 2026.

The ongoing buy-back programme and share option exercises continue to reshape Xiaomi-W’s capital base while maintaining its dual-class share structure and public-float obligations.
