Morgan Stanley Discloses Net Purchase of 67,900 ENN Energy Shares Amid Privatisation Process

On 8 June 2026, a Rule 22 filing under the Hong Kong Code on Takeovers and Mergers detailed Morgan Stanley & Co. International plc’s dealings in ENN Energy Holdings Ltd. shares on 5 June 2026, executed during the company’s proposed privatisation by scheme of arrangement.

Morgan Stanley purchased 124,900 ENN Energy ordinary shares for approximately USD 6.45 million and sold 57,000 shares for roughly USD 2.95 million, resulting in a net acquisition of 67,900 shares. The trades were carried out as hedging transactions for Delta 1 products created from wholly unsolicited, client-driven orders.

Transaction pricing ranged from USD 51.30 to USD 52.29 per share. Based on the filing, the average purchase price was about USD 51.60, while the average sale price was roughly USD 51.74.

The investment bank, categorised as a Class (5) associate connected with the offeror, confirmed that all dealings were conducted on its own account. The disclosure satisfies ongoing reporting obligations linked to ENN Energy’s privatisation process.
