Wai Chi Holdings Company Limited (Wai Chi Hold) has reported a net reduction of 100,000 ordinary shares for September 2026, according to its Monthly Return filed with Hong Kong Exchanges and Clearing Limited on 5 October 2026.

Authorised and Issued Capital • Authorised share capital remained unchanged at 1.00 billion shares with a par value of HKD 0.01 each, equivalent to HKD 10.00 million. • Total issued shares were steady at 219.73 million, but shares in public hands fell from 216.69 million to 216.59 million after September repurchases. • Treasury stock increased from 3.03 million to 3.13 million shares. The 100,000-share reduction represents 0.05% of the company’s previously issued share base (excluding treasury shares). • Wai Chi Hold confirmed compliance with the Main Board’s 25% minimum public-float requirement.

Share Repurchase Activity Between 3 and 10 September 2026, the company repurchased a total of 100,000 shares at prices ranging from HKD 0.76 to HKD 0.85 per share. The aggregate consideration paid was approximately HKD 0.08 million, translating into an average buy-back price of HKD 0.79 per share. All repurchased shares were retained as treasury shares.

Employee Share Options Outstanding share options were unchanged at 4.15 million units. These options stem from two schemes adopted on 27 October 2014 and 19 December 2022, both with an exercise price of HKD 1.49 per share. No options were exercised, and no new shares were issued under the schemes during the month.

Liquidity and Capital Structure With no change in total authorised or issued share capital and only a marginal 0.05% contraction in outstanding shares, the company’s overall capital structure remains stable. The accumulation of treasury shares provides flexibility for future capital management initiatives, while current public float levels continue to satisfy Hong Kong Stock Exchange requirements.

The filing was authorised by Company Secretary Mr. Cheung Wai Hung, who confirmed that all regulatory and corporate governance obligations related to the September share movements have been met.
