Logan Group Secures Creditor Approval for Holistic Restructuring Schemes

Logan Group Company Limited announced that the requisite statutory majorities of its scheme creditors approved the proposed restructuring schemes at a meeting held on 24 July 2026 in Hong Kong. The endorsement marks a pivotal milestone in the company’s ongoing “Updated Amended Holistic Restructuring Proposal,” first detailed in prior disclosures dated 10 September 2025, 25 September 2025, 31 March 2026, 7 May 2026 and 2 July 2026.

In parallel, Logan Group confirmed that the necessary consent instructions were obtained to amend the governing law of its equity-linked cash-settled securities (ISIN: XS2440273691; Common Code: 244027369) to Hong Kong law. This legal adjustment is designed to facilitate smoother implementation of the overall restructuring plan.

Relevant documentation for both the creditor schemes and the consent solicitation has been made available on the transaction website maintained by Kroll Issuer Services Limited, the appointed Information Agent. Creditors requiring assistance can contact Kroll or the company’s financial advisers—Alvarez & Marsal Corporate Finance Limited, Haitong International Securities Company Limited, and Kroll (HK) Limited—using the emails and addresses provided in the announcement.

Logan Group emphasized that successful completion of the schemes remains subject to multiple factors beyond its control. The company pledged to provide further updates in accordance with Hong Kong Listing Rules and other applicable regulations.

The board of directors, chaired by Mr. Kei Hoi Pang, reiterated that investors and holders of the company’s securities should exercise caution and consider professional advice when dealing in Logan Group’s securities.
