Silkwave Inc Moves to Modernise Governance with Hybrid AGM and E-Voting Amendments

Silkwave Inc announced that its board intends to adopt an amended and restated Memorandum and Articles of Association, subject to shareholder approval at the forthcoming annual general meeting (AGM).

Key proposed changes: • Hybrid meetings: The revised documents will permit share­holders to attend, speak and vote virtually, aligning the company’s constitutional documents with updated Listing Rules requirements. • Electronic voting: Formal provisions for e-voting at general meetings are to be embedded, broad­ening participation options for investors. • Administrative powers: The board and meeting chair will receive explicit authority to manage the conduct and logistics of technology-enabled meetings. • Housekeeping updates: Related cor­responding amendments will also be incorporated to ensure full compliance with the latest regulatory standards.

Process and next steps: • The amendments require approval via special resolution at the AGM. • A detailed circular, together with the AGM notice, will be despatched to shareholders in due course.

The announcement was authorised by Chairman Chau Ngai Fung on 28 April 2026. Executive directors include Chau Ngai Fung, Hu Manqiu, Yang Tenghao, Tian Tian and Wong Chau Chi; independent non-executive directors are Chow Kin Wing, Lam Po Chuen and Tam Hon Wah.
