CEOVU Issues Supplemental Circular Ahead of 11 June 2026 AGM, Proposes Re-election of Five Directors

China Electronics Optics Valley Union Holding Company Limited (CEOVU, 00798) has released a supplemental circular to its 24 April 2026 AGM materials, adding five re-election resolutions to be voted on at the 11 June 2026 annual general meeting in Hong Kong.

Key additions: • Executive Director: Huang Liping, founder and current president, standing for a new three-year term. He indirectly holds 1.78 billion shares (24.08 %) through AAA Finance and 120.00 million shares (1.62 %) through Lidao Investment. • Non-executive Director: Hu Bin, with 26 years of management experience and direct ownership of 70.32 million shares (0.95 %). • Independent Non-executive Directors: Qiu Hongsheng, Peng Weidong and Hu Lijun. All three have confirmed continued compliance with HKEX independence criteria and sufficient time commitment.

Board and nomination committee assessment: • All five candidates meet the company’s nomination principles, add sectoral expertise and maintain board diversity. • The Board unanimously recommends shareholders vote in favour of each re-election.

Meeting logistics: • AGM scheduled for Thursday, 11 June 2026 at 9:30 a.m. (Hong Kong time), The Langham Hong Kong. • Shareholders must submit the new Second Proxy Form by 9:30 a.m. on 9 June 2026. Previously lodged proxies remain valid for original resolutions; the new form covers the additional items 8–12. • Voting will be conducted by poll, with results to be published on HKEX and company websites.

No other changes to the original AGM agenda, and no shareholder is required to abstain from voting on the new resolutions. No corporate gifts will be provided at the meeting.
