Samsonite (B159.469) Reports Conflict of Interest in Board Decision on Potential Share Issuance

Samsonite Group S.A. has announced details regarding a conflict of interest tied to potential share issuances at its upcoming General Shareholders’ Meeting scheduled for March 19, 2026. According to a report dated February 16, 2026, the Board of Directors noted that on June 3, 2025, a director, Mr. Kyle Francis Gendreau, declared a pecuniary personal interest in a possible increase in share capital upon the vesting of restricted share units.

The Board meeting minutes recorded that Mr. Gendreau referenced his personal interests in shares that may be issued under future determinations related to restricted share units. In line with Article 10.9 of the company’s articles of incorporation and Article 441-7 of Luxembourg law, the conflict of interest has been documented. The Board, excluding Mr. Gendreau from its deliberation and vote on these matters, approved the potential share issuance during the June 3, 2025 session. The Chairman, Mr. Timothy Charles Parker, signed the report in his capacity as Director and Chairman.
