Luyuan Group AGM Green-lights New Constitution, Renews PwC and Share Mandates with Near-Unanimous Support

Luyuan Group Holding (Cayman) Limited (“Luyuan Group”) reported that all resolutions put to shareholders at the 17 June 2026 Annual General Meeting in Jinhua City were approved by poll, clearing the path for updated corporate governance documents and refreshed board authorities.

Special resolution – new Memorandum & Articles • Shareholders voted 279.41 million shares (100.00%) in favour of replacing the existing memorandum and articles with an updated version, which took effect immediately upon approval.

Key ordinary resolutions • FY25 results: The audited consolidated financial statements and directors’ and auditor’s reports for the year ended 31 December 2025 were adopted with 100.00% support. • Board composition: Executive directors Mr Ni Jie and Ms Ni Boyuan were re-elected with 99.96% approval; independent non-executive director Mr Wu Xiaoya was re-elected with 99.85% support. The board was also authorised to fix directors’ remuneration (100.00% approval). • Auditor: PricewaterhouseCoopers was re-appointed for the year ending 31 December 2026, backed by 99.71% of votes cast. • Share authorities: – General mandate to issue up to 20% of issued shares (excluding treasury shares) passed with 99.60% support. – Mandate to repurchase up to 10% of issued shares received 100.00% approval. – Extension of the issue mandate by the amount of repurchased shares was backed by 99.71% of votes.

Participation and voting structure Out of 410.17 million issued shares entitled to vote, 279.41 million shares were cast, representing approximately 68.13% participation. In accordance with Hong Kong Listing Rule 17.05A, Futu Trustee Limited abstained from voting 23.08 million unvested shares linked to the company’s share incentive schemes. Tricor Investor Services Limited acted as scrutineer.
