B.DUCK SEMK (02250) announced that the placement transaction has lapsed and will not proceed, as it failed to complete by the placement completion date of October 9, 2025. Consequently, the subscription transaction under the placement and subscription agreement will also not be carried out.

According to the placement and subscription agreement, if the conditions for the subscription transaction are not satisfied by October 13, 2025 (or such other date as may be agreed in writing between the Company and the vendor in accordance with all applicable laws, rules and regulations, including but not limited to the Listing Rules), all rights, obligations and liabilities of the parties to the subscription transaction shall cease and terminate, and the placing agent, the Company and the vendor shall have no claim against each other in respect of the subscription transaction, save for any rights and remedies arising prior to such termination.

The Board believes that the lapse of the placement transaction and subscription transaction will not have any material adverse impact on the Company's current operations and financial position.
