Bank of Tianjin (1578) Proposes Appointment of Independent Non-Executive Director

Bank of Tianjin Co., Ltd. (1578) announced on 1 December 2025 a proposal to appoint Professor Han Liang as an independent non-executive director of its eighth session Board. The appointment remains subject to shareholder approval at the general meeting and subsequent confirmation by the Tianjin Regulatory Bureau of the National Financial Regulatory Administration.

Upon approval, Professor Han will serve on the Board’s Strategic Development Committee, Audit Committee, and Related Party Transactions Control Committee. He holds a professorship at Nankai University’s law school and has previously served in various academic roles at Nankai University and Tianjin University. His professional engagements include serving as an independent director of China Industrial International Trust Limited since January 2023 and acting as a senior consultant at Gaopeng & Partners since February 2024.

The term of office for Professor Han will commence once the Tianjin Financial Regulatory Bureau formally approves his qualification and will conclude upon the expiration of the Bank’s current eighth session Board. He is expected to receive an annual director’s allowance of RMB250,000 (before tax), calculated and paid in accordance with the relevant administrative measures of the Bank.

The Bank has confirmed that Professor Han meets all requirements for independence, has no direct or indirect shareholding interests in the Bank, and has no connections with any substantial or controlling shareholders. According to the announcement, the Bank will dispatch a circular with further details of his proposed appointment in due course.
