AGTECH HOLDINGS (SEHK: 08279) has announced that the company submitted an application for a transfer of listing to the Stock Exchange on June 18, 2026, after trading hours, pursuant to Chapter 9B of the Main Board Listing Rules.

The transfer is subject to, among other conditions, (a) the company meeting all applicable requirements for a Main Board listing as stipulated in the Main Board Listing Rules, including but not limited to satisfying the simplified transfer eligibility criteria under Chapter 9B; (b) the Stock Exchange granting approval for the listing of and permission to deal in all issued shares on the Main Board; and (c) the company obtaining all other requisite approvals or consents, and fulfilling any conditions attached thereto, necessary for implementing the transfer.

Considering the group's current stage of development and the growing importance of market visibility and stakeholder confidence to its business model, the Board believes the proposed transfer will provide a more suitable listing platform for the company's next phase of growth.

Specifically, given the company's diversified business operations across areas such as digital payments, banking services, wealth management, cross-border settlements, and regional financial collaboration, the Board is of the view that a Main Board listing will help elevate the group's brand recognition as an integrated fintech group.

It is also expected to strengthen the group's interactions and connections with users, merchants, financial institutions, business partners, and investors, and support the group in continuously identifying and expanding business opportunities within its current market positioning.

The Board believes the Main Board generally enjoys broader market recognition, which will aid in enhancing investor awareness of the company and, at an appropriate time, provide robust support for more flexible access to the capital markets.
