Lianlian DigiTech calls 5 Jun 2026 AGM to approve 2025 results, RMB 2.50 billion credit lines, auditor switch to Deloitte and refreshed share mandates

Lianlian DigiTech has issued a circular convening its Annual General Meeting for 5 June 2026 in Hangzhou. Shareholders will vote on eleven resolutions covering financial statements, capital management and board changes. Key points are as follows:

• 2025 performance and payout – The Board submits the 2025 audited consolidated financial statements and annual report for approval. No dividend is proposed for the year.

• Financing capacity – Management seeks authority to secure credit facilities of up to RMB 2.50 billion from banks and other institutions. The Company may provide guarantees, pledges or mortgages for subsidiaries under the same cap; authorisation runs until the next AGM.

• Board reshuffle – Executive directors Mr Xin Jie and Ms Wei Ping will step down. Co-presidents Mr Shen Enguang and Mr Sun Dali are nominated to join the Board for the balance of the second term.

• Independent director pay – Annual remuneration for each independent non-executive director is proposed to rise to HK$520,000, reflecting the Group’s expanded business scale and workload.

• Auditor rotation – PricewaterhouseCoopers will retire after nine years. Deloitte Touche Tohmatsu is nominated as auditor for the 2026 financial year with an expected fee of RMB 3.00–4.00 million.

• General mandate to issue shares – The Board seeks authority to allot, issue or transfer up to 20 % of the Company’s issued share capital (excluding treasury shares) during the mandate period. Based on 1,127.10 million total shares and 27.57 million treasury shares outstanding, the limit equates to 219.91 million shares.

• Share buy-back mandate – A separate mandate would permit repurchase of up to 10 % of H shares in issue, or 43.91 million shares, again excluding treasury stock.

• Recent buy-backs – Over the six months to 8 May 2026 the Company repurchased 14.57 million H shares for HK$92.82 million, which remain in treasury.

• Register closure – The share register will close from 2 June to 5 June 2026 (both days inclusive) for AGM eligibility determination.

All resolutions will be decided by poll, and treasury shares are excluded from voting.
