Wing Lee Development Proposes Second Restated Articles to Align with HKEX’s New Digital and Treasury Share Rules

Wing Lee Development Construction Holdings Limited announced plans to replace its existing articles of association with a second amended and restated version, subject to shareholder approval at the annual general meeting scheduled for 18 September 2026.

Key proposed changes:

1. Digital Governance Alignment • Introduces provisions for hybrid and fully electronic meetings, electronic voting, and electronic dissemination of corporate communications, mirroring Hong Kong’s expanded paper-less listing regime.

2. Treasury Share Framework • Updates wording to incorporate the Stock Exchange’s latest rules allowing listed companies to hold and deal in treasury shares.

3. Preparation for Uncertificated Securities Market • Adds clauses to accommodate an upcoming scrip-less market structure, ensuring operational readiness when the regime takes effect.

4. Housekeeping Amendments • Consolidates miscellaneous updates and clarifications to improve internal consistency across the articles.

Implementation Timeline • The special resolution to adopt the new articles will be tabled at the September 2026 AGM. • If approved, the revised articles will become effective immediately after the meeting; until then, the current version remains in force. • A circular containing the full text of the new articles, the AGM notice, and proxy form will be distributed to shareholders in due course, and the adopted articles will later be posted on both the Stock Exchange and company websites.

Board View The directors believe the proposed updates serve the best interests of the company and its shareholders by bringing governance documents in line with contemporary regulatory standards and market infrastructure developments.
