The company's board of directors has informed shareholders that it requires additional time to consult with its PRC legal advisors and assess the impact on its financial statements and forecasts. This process also involves making necessary adjustments to the financial statements and completing related audit procedures, including cash flow forecasts and asset assessments. Consequently, the audit of the group's financial statements for the year has not yet commenced in full, including on-site audit work.

As a result, the company anticipates a delay in releasing its audited annual results for the fiscal year ended March 31, 2026. Under Listing Rule 13.49(1), the company is required to publish an annual results announcement within three months after the end of its financial year, which would be by June 30, 2026. Given the current circumstances, the board believes the company will be unable to publish the annual results announcement by this deadline.

This delay constitutes a breach of Listing Rule 13.49(1). The board has assessed that the postponement will not affect the group's business operations.

Furthermore, in accordance with Listing Rule 13.46(2), the company is required to dispatch its annual report for the fiscal year ended March 31, 2026 within four months of the financial year-end, which would be by July 31, 2026. Due to the expected delay in the annual results announcement, the dispatch of the 2025/26 annual report is also anticipated to be postponed.
